These Terms of Service govern all website design, business system development, and related services provided by ÉireStack (“we”, “us”, “our”) to clients (“you”, “client”). By engaging our services, you agree to these terms.
The supplier is ÉireStack, Dublin, Ireland Email: hello@eirestack.ie.
Your written quote or project agreement is the project-specific contract. It records the scope, price, timeline, payment schedule, revisions and any support arrangement. If it conflicts with these general terms, the quote or agreement takes priority for that project.
ÉireStack provides website design, development, eCommerce solutions, business systems, and related digital services as agreed in a written or electronic quote. The scope, timeline, and price are defined in the project quote issued prior to commencing work.
Any work outside the agreed scope will be quoted separately and requires your written approval before work begins.
Quotations are valid for 30 days from the date of issue. A project begins when you confirm acceptance in writing (email is sufficient) and the deposit is received.
Verbal agreements are not binding. All scope changes must be confirmed in writing.
You agree to:
Once the final balance is paid, you own the completed website's code and files and can move it to another host at any time. ÉireStack can continue to host and support it only where that is agreed separately.
You may request a full copy of your source files and codebase at any time after the final balance is paid, including long after handover - for example, if you later decide to self-host or move providers. We will provide it within a reasonable time of your written request.
Once a website is handed over, we are not responsible for changes, modifications, hosting configuration, or issues introduced after you or a third party takes over its management. Diagnosing or fixing problems arising after handover is a new, separately quoted engagement.
A small “Made by ÉireStack” credit and link is included in the site footer and remains in place unless its removal is separately agreed in writing. You own the resulting code and files, but not the design and development credit for them: you may not represent, imply, or allow a third party to represent that you or they personally designed or developed the website.
Where we register or purchase a domain on your behalf, it belongs to you. We will transfer full ownership and registrar access to you on request or at project completion; from that point you are responsible for its renewal and registrar fees unless otherwise agreed.
We retain the right to display the completed work in our portfolio and marketing materials unless you request otherwise in writing before project completion.
Third-party domains, subscriptions, payment providers, fonts, plugins and licensed assets remain subject to their providers' terms, charges and licences. We retain ownership of pre-existing tools, frameworks, libraries and reusable code.
Business Systems are scoped individually. The written quote or agreement states the subscription, support, data export, ownership, licensing, handover and cancellation arrangements that apply. Website ownership terms in clause 6 do not automatically apply to a Business System.
Where a Business System stores personal data belonging to your own clients or customers (for example, their name, contact details or booking history), we act as a data processor on your instructions, and you remain the data controller responsible for that data under GDPR. Each Business System runs on its own separate, isolated database - we do not combine or share data between different clients' systems. If your engagement with us ends, we will provide a full export of that data so you can continue to use, host or manage it as you choose.
A Data Processing Agreement covering these arrangements in full is provided as part of your project agreement for any Business System that processes personal data on your behalf.
Reasonable refinements within the agreed scope are included. New pages, features, or changes in direction are priced and approved before work begins.
A revision is a minor adjustment to an approved design. A change in direction, new requirements, or substantial scope changes constitute additional work and will be quoted separately.
We will use reasonable endeavours to meet agreed delivery dates. However, timelines are dependent on timely receipt of client content and feedback. We are not liable for delays caused by late client responses or force majeure events.
If a project is paused by the client for more than 30 days, we reserve the right to invoice for work completed to date and reschedule the remaining work when capacity allows.
To the maximum extent permitted by Irish law, ÉireStack is not liable for:
Our total liability for any claim is limited to the total fees paid by you for the specific project in question.
Either party may cancel a project in progress by giving written notice.
Deposits are non-refundable. The 50% deposit secures your project slot and covers work planned and carried out from that point. Once paid, it is retained regardless of a later decision to stop, change direction, or cancel, except where ÉireStack cancels the project or is unable to deliver the service you were quoted for (see below).
Final payment is non-refundable once paid. It falls due when the agreed work is complete and approved; you are not entitled to a refund of a final payment on the basis that you simply changed your mind after delivery.
If ÉireStack cancels a project, or is unable to deliver the service you were quoted for, you will receive a full refund of amounts paid for work not delivered, less the value of any work already completed and provided to you.
If you cancel a project part-way through, we may invoice you for the value of work carried out and approved costs incurred up to that point; the deposit already paid is applied against this and is not separately refunded on top of it.
This clause does not affect your statutory cancellation rights as a consumer - see clause 12.
If you are contracting as a consumer (rather than for your trade, business or profession) at a distance, you may have a statutory 14-day cancellation right. This does not remove any rights you have under Irish consumer law.
If you want work to begin during that period, the project agreement asks you to make an express written request. You will be told what work has started and what reasonable amount may be due if you cancel after requesting an early start. Where a legal exception applies to customised or fully performed services, it will be explained and acknowledged in the project agreement before work begins.
To request cancellation, email hello@eirestack.ie with your name, project and a clear statement that you wish to cancel. We will confirm receipt and explain the next steps.
These Terms are governed by the laws of the Republic of Ireland. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the Irish courts.
We may update these Terms from time to time. Updated Terms apply to new projects and engagements. Existing projects are governed by the Terms in effect at the time of acceptance.
